Fox Williams LLP has recently advised the selling shareholders of Evernal Limited, Evernal 2 Limited, Evernal 3 Limited and Evernal 4 Limited. These companies have successfully run key Pandora jewellery concept stores for a number of years. The stores are located in the Manchester Trafford and Arndale centres, as well as in Liverpool One and Blackpool and were operated under franchise agreements with Pandora Jewellery UK Limited.

The purchaser was also Pandora Jewellery UK Limited, a UK subsidiary of Pandora, publically listed on the NASDAQ OMX Copenhagen stock exchange in Denmark. The four stores will now be owned-and-operated by the brand.

Corporate partner Paul Taylor led the Fox Williams team and was assisted by corporate associate Hannah Sensecall, real estate partner Elizabeth Ruff and real estate associate Rebecca Evans. Accountants Raffingers-Stuart also advised the sellers.

Paul Taylor commented: “It was a real pleasure to complete the sale for two very valued clients of the firm. Notwithstanding the existing franchisor/franchise relationship, robust due diligence was carried out by the purchaser given the share acquisition structure”.
