Fox Williams acted for TD Capital Private Equity Investors on the spin-out of its global private equity investment firm to create Northleaf Capital. TD Capital Private Equity Investors is the private equity fund of funds and co-investment arm of TD Bank Financial Group, one of North America’s leading financial institutions. As Canada’s largest independent global private equity fund manager and advisor, Northleaf’s 40-person team will continue to manage over $2.8 billion in private equity fund commitments on behalf of institutional investors, including TD Capital, from offices in Toronto, London and Menlo Park. Fox Williams will act for Northleaf's UK operations going forward.
Michael Flood, Managing Director of Northleaf Capital's London office, commented:
“For assistance with the spin-out of our business from our financial institution parent, we were looking for a full service law firm that was highly responsive to the many issues that could arise as part of becoming an independent company . We selected Fox Williams and were very satisfied. The team provided the service we wanted by giving advice and guidance which was both practical and commercial in a timely manner.”
Richie Clark (Head of Capital Markets) led the Fox Williams' team on the transaction, with assistance from Sharon O'Donnell and Monica Pahwa on corporate and regulatory matters, Mark Watson and Rebecca Davidson (Employment) Matthew Davies (Immigration), Liz Ruff and Rebecca Watkins (Real Estate) and Stephen Lane (Tax).
Richie Clark commented:
"We are delighted to have assisted an eminent global financial institution like TD Capital on such an important strategic transaction. We look forward to working closely with Northleaf Capital as they create a leading name in private equity investment and fund management."
