Nigel is a financial services and FinTech lawyer with 20 years’ experience of leading legal teams in banks, brokerage firms and tech providers. With an insider’s knowledge of finance and market tech, Nigel specialises in advising financial services and tech clients on corporate, transactional and regulatory matters. He brings a commercial, client focussed approach, simplifying complex legal issues.

Corporate experience includes:

  • Seed Fund and Series A fund-raising for Blockchain, peer-to-peer, smart finance, Internet of Things and RegTech businesses
  • Corporate restructurings and reorganisations for financial services firms 
  • M&A in the financial, tech and FinTech sectors, with specialist knowledge of contractual and regulatory due diligence
  • Joint Ventures and commercial collaboration projects in Financial Software and Electronic Trading Systems, including hosted and licensed solutions including Blockchain reliant solutions
  • Corporate and Structured Finance projects and engagements

Transactional financial services experience includes:

  • Multi-product brokerage and prime services
  • Custody, clearing, settlement and security issues
  • Derivatives (ISDA, credit support, securities lending, repo) and structured products
  • Islamic Brokerage and Finance (Murabaha and Reverse Murabaha)
  • Litigation funding with structured pay-outs

Non-contentious financial regulatory experience includes:

  • CASS and Payment Services Directive issues
  • Block trading and off market trades
  • Perimeter regulatory guidance to financial services firms, identifying their regulatory requirements
  • Senior Managers & Certification Regime with specialist knowledge of statements of responsibility and job descriptions 
  • UK Bribery Act issues and linked investigations
  • Advising on the effect of MIFID, MiFID II, MiFIR, EMIR and REMIT with a particular focus on Best Execution, Transaction Reporting, trading platforms and Third Country Access.

Nigel has a history degree from Bristol University and commenced his professional career as an equities broker at UBS, later qualifying as a solicitor in 1992 with Clifford Chance. He has held senior positions at Nomura, State Street, JP Morgan, Societe Generale and NatWest Markets. Prior to joining Fox Williams, Nigel was Head of Legal EMEA at GFI Group, a leading brokerage firm and financial technology supplier.

Nigel speaks regularly on financial services issues, including MiFID II, MiFIR, Blockchain and due diligence and is regularly quoted in the legal and regulatory press.

Nigel was quoted by ACAMS (moneylaundering.com) on 29 January 2016 regarding the new Senior Managers Regime being implemented on 7 March. Nigel noted that “…in large, matrixed organizations, there are often several people responsible, and things run on committees, so making people individually accountable has been quite tricky.
