Corporate experience

  • Advised TSX-listed Constellation Software and its Volaris, Vela, Jonas, Harris, Perseus and TSS operating groups on numerous UK acquisitions of vertical market software companies.

  • Acted for shareholder of a Main Market listed company to successfully obtain an injunction in relation to a purported disenfranchisement under the company’s articles of association by the board for seeking an EGM to remove two directors and appoint new independent NEDs.

  • Advised finnCap on the initial public offering of Elixirr on AIM and £25m placing. This was the first AIM IPO to occur since the Covid-19 pandemic lockdown began.

  • Advised the main shareholders of the cinema and film distribution group, Curzon, on the sale to USA based, Cohen Media Group.

  • Acted on behalf of a major institutional shareholder of an AIM-listed technology company to secure a board restructuring by negotiation with the board ahead of the AGM.

  • Advised Realty Invest Holding LLP (RIH), a limited liability partnership incorporated in Kazakhstan, on its US$46 million unrecommended takeover of main market listed Chagala Group limited.

  • Advised the shareholders of DueDil, a fintech business, on the sale of their shareholdings to Artesian Solutions, a software company.

  • Advised Digital Moneybox, the mobile savings and investment app, on its £14 million Series B funding round led by Eight Roads Ventures, the proprietary investment arm of Fidelity International Limited.

  • Advised Trustbridge Global Media, owned by international private equity firm Trustbridge Partners, on its landmark acquisition of the children’s book publisher Walker Books Limited. The complex transaction involved the acquisition of the majority shareholding in Walker Books from two discretionary trusts which held the shares for the benefit of employees and authors, and the acquisition of the remaining shares from over 300 employees and authors who held shares either directly or through the Walker Books’ share incentive plan.

  • Acted for Resolve on a range of issues/creditor settlements arising out of the liquidation of PPS.
