Tax is of crucial importance in the context of setting up, investing in and running a business, both for the business itself but also for those providing the intellectual or financial capital.  We advise a wide range of individual clients on the business tax issues arising as result of their involvement in an enterprise, either as angel investors, shareholders, partners, owner-managers, venture capital backed management teams, executive/non-executive directors and/or employees.

We work closely with our colleagues in other departments to provide pragmatic high quality tax advice tailored to each client’s particular needs and circumstances.  We are experienced in providing bespoke tax advice at all stages of the business life-cycle, from start up, to obtaining external funding, to bringing on board additional senior management, to ultimate exit through a sale or listing.

Where necessary, we are happy to work alongside existing external or overseas advisors, and we have access to a wide international network should non-UK tax advice be required.

  • structuring founders’ equity for owner-managers on start up;
  • tax efficient forms of investment in new and growing businesses, including venture capital raising (in particular eligibility for, and implementation of Enterprise Investment Scheme (EIS) and Seed Enterprise Investment Scheme (SEIS));
  • remuneration arrangements for senior management and other employees, in particular appropriate share based structures including EMI Options, growth shares and other equity incentive arrangements;
