Many companies and individuals wish to restructure the way in which a property is held.

Our Real Estate team has experience in and has handled a wide range of restructuring transactions, from de-enveloping (the process an individual goes through to own a property directly rather than through a corporate vehicle incorporated overseas), to inter-group leasehold assignments and transfers of freehold property between connected companies.

In addition to legal issues, there are also tax and accounting issues that must be considered in a restructuring and we work closely with other professional advisers who can offer sound advice in these areas.

We have significant experience in working through complex restructuring, acting for a variety of clients, from corporates or family offices to individuals, both based in the UK and overseas.

Ownership restructuring experience

• Advised on the assignment of two office leases inter-group, including obtaining the relevant landlord consent to said assignments.

• Advised an overseas individual on de-enveloping two high value properties, during which we had to liaise with overseas counsel in several jurisdictions.

• Advised a corporate client on a group reorganisation which included lease assignments and freehold property transfers, following which the transferor was placed into a members voluntary liquidation.
