FW acts for Jonas Software on acquisition of AMI Education Solutions from RM plc

January 25, 2012

Fox Williams advised Jonas Software, a subsidiary of longstanding TSX-listed client Constellation Software Inc. on its acquisition of AMI Education Solutions Limited from London-listed RM plc.

AMI through its Easytrace product set is a leading provider of smart card and biometric software for Education, focussed on cashless catering, and a wide set of applications, all controlled by a single card or finger print, and is a leading supplier to the Government new build and academy programme.

AMI Education will form part of the Jonas Education business unit, which also includes Gladstone Education. Adding AMI to their Education portfolio significantly furthers Jonas’ goal of becoming the premier supplier of software and services to this strategic market.

Corporate partner Richie Clark led the FW team, assisted by corporate associate Eniga de Montfort, tax associate Jaspal Pachu and employment senior associate David Murphy. RM plc was represented by its in-house legal team.

Richie Clark commented "It was a pleasure to assist the Jonas team achieve its goal of growing its already significant presence in the UK education market.    The transaction was also evidence of Fox Williams increased focus in the education sector, having recently advised on the establishment of the New College of the Humanities and a number of international franchising arrangements for leading independent schools including Dulwich College, North London Collegiate School and Wellington College."
