Fashion Foundry industry event – The Licensing Spectrum: an event delivered in partnership by Fashion Foundry, the Scottish Textile & Leather Association (STLA) and Textiles Scotland on Thursday 25 April 2013, 09:45-14:00 at Gold Room, Scottish Youth Theatre, The Old Sheriff Court, 105 Brunswick Street, Glasgow G1 1TF.
This seminar will consider the types of licensing arrangements entered into by designers and manufacturers, with suppliers and distributors, to create product ranges or get products and services to market. It will explore the key considerations and negotiation points of any licensing agreement and the Intellectual Assets and Intellectual Property that underpin them.
What to Expect
Intellectual Assets: What are they? How do I protect them? Why should I protect them? Why are they important to licensing? A guide to the various aspects of IA & IP by the IA Team at Scottish Enterprise, including what assets you can protect and manage, and how they can contribute
to licensing opportunities.
Licensing Part I: An Introduction to licensing covering licensing designs, trade marks and copyright; collaboration: pros and cons; the financial aspects of licensing; and negotiating an agreement. With Stephen Sidkin of Fox Williams LLP.
Presentation: with designer Natasha Marshall who will provide case study examples of how licensing arrangements work in practice.
Licensing Part II: Advanced licensing – the key issues:
Grant – what rights are being granted by the licensor to the licensee?
Management – what obligations will be placed on the licensee? What restrictions will also be imposed?
Financial performance – licence fees and royalty rates are only part of the picture!
Exit – easy in but not so easy out? On what terms may the agreement be terminated and what will be the consequences of termination?

Catherine Potts and Alison Butchart, Intellectual Assets Specialist Team at Scottish Enterprise. The IA Team offers a range of free and impartial services to assist Scottish businesses to identify, manage and exploit their hidden value, providing support to businesses to better manage
their Intellectual Assets and Intellectual Property.
Stephen Sidkin, Partner, Fox Williams LLP. Stephen is an avid believer in the importance and value of brands and advises many of Fox Williams’ fashion clients on their commercial law needs. This regularly includes advising fashion companies on international agency and distributorship agreements, trade mark licensing, franchise agreements and competition law. Stephen has written for Drapers, Womenswear Buyer, Footwear and Fashion Extras and Futura, and was one of the judges for the Drapers awards 2012.
Natasha Marshall, Designer. Natasha Marshall launched her surface?design company business in 1997 after graduating from Glasgow School of Art. Natasha Marshall Ltd creates fabrics and wallpapers for the Interior Industry; for Architects, Interior Designers and retailers worldwide. Their own fabric and wallpaper collections sell under the Natasha Marshall brand and they design the fabric and wallcovering ranges for Wemyss and Sekers.
Fiona Chautard from Fashion Foundry will introduce the event. Fiona is a Creative Business Consultant who has been involved with fashion and textiles for over 20 years and is Cultural Enterprise Office’s Specialist Adviser for Retail and Fashion & Textiles.
The Scottish Textile & Leather Association (STLA) assists Scotland’s textile design and manufacturing sector to build on its strengths to work together in a rapidly changing global industry. They aim to benefit members through interaction and collaboration with industry partners and colleagues, by providing access to information and assistance, and promoting Scottish textile products and companies to buyers, suppliers and interested parties, under the Textiles Scotland brand. Project Manager, Fiona Duff will join the event.
