Fox Williams advised Lumine Group on the recent acquisition of TransMedia Dynamics (“TMD”), a provider of content supply chain software used by some of the world’s most visionary and innovative media & entertainment, government and archive organisations (see here). TMD is headquartered in the UK, with offices in the USA, Malaysia, and Australia.
Lumine Group is a division of the Volaris Group, an operating group of Constellation Software Inc. focusing on the communications and media vertical market. The TMD acquisition, which completed on 1 March 2021, represents the fifth deal on which Fox Williams has advised Lumine Group, following the acquisitions of Lifecycle Software, MDS Global, the Nokia Video Product business (by Velocix) and WDS Mobile.
Working closely with Lumine Group Portfolio Counsel Caroline Khachehtoori, the Fox Williams team comprised Head of Corporate Richie Clark, Sarah Carlton and Hollie Allen (corporate) and Emma Bailey and Joanne Varia (tax).
Caroline Khachehtoori, Portfolio Counsel at Lumine Group, said: “As a global leading acquirer of communications and media software businesses, we are very excited about the acquisition of the innovative TransMedia Dynamics. Working alongside the commercial and pragmatic Fox Williams team ensured the deal went as smoothly as possible. We highly appreciate the fantastic relationship we have built with Fox Williams.”
Richie Clark said: “We were delighted to once again work together with Lumine Group to help grow its portfolio in the communications and media vertical with the successful acquisition of TMD. This transaction required excellent teamwork between Fox Williams and Lumine Group to get the deal done across multiple jurisdictions in a compressed timetable.”
