Fox Williams LLP advised EdTech client Firefly Learning Limited (“Firefly”) on the recent acquisition of the entire issued share capital of Epraise Limited (“Epraise”) (see here).
Firefly is a trusted platform for parent engagement and learning continuity, providing a unified school experience for parents, teachers and students alike. Founded in 2005 by Simon Hay and Joe Mathewson – secondary school students at the time – Firefly has become a household name in education technology in the UK and beyond.
The Epraise acquisition, which completed on 1 March 2021, represents the second acquisition on which Fox Williams has advised Firefly, following the acquisition of Empetus Limited (t/a SchoolPost) in 2020 (see here). Epraise is a learning engagement platform at the heart of hundreds of school communities around the world. Epraise was founded in 2010 by Ben Dunford, a secondary school teacher who was frustrated with the inefficiency and ineffectiveness of paper-based reward systems, and like Firefly, has become renowned for both its platform and the people supporting it.
The Fox Williams team was led corporate partner Andrew Woolf and senior associate Hannah Elliott, principally assisted by Chien-Wei Lui (corporate associate), Jo Varia (tax director) and David Murphy (employment partner). The transaction further adds to Fox Williams’ extensive experience in advising on sales and acquisitions in the technology sector.
