Fox Williams advised N. Harris Computer Corporation (“Harris”), part of Constellation Software Inc. (TSX: CSU), one of the world’s most active acquirers of VMS businesses, on its acquisition of Onefile Limited (“Onefile”), a UK-based apprenticeship and learning software provider. The transaction completed in October 2021.

Onefile is a market-leading provider of learning and development software to support the delivery of apprenticeships and qualifications training through its ePortfolio and learning management (LMS) platform. For almost 20 years Onefile has pioneered EdTech, supporting over 1.2 million people to learn for their future.

Harris acquires vertical market software businesses, manages them well, and builds them for the future. Through acquisitions, Harris has grown extensively from its roots in the utilities, local government, education, and healthcare verticals to operate over 160 businesses globally across more than 20 industries. Onefile joins Harris’ growing portfolio of business units in the UK serving industries such as healthcare and public safety.

Working closely with Harris’ in-house counsel and business team, the Fox Williams team was led by corporate partner Hannah Elliott, principally assisted by corporate associate Priya Mattu, real estate senior associate Mary Majewska, employment legal director Daisy Jones and tax legal director Joanne Varia.
