Fox Williams advised the shareholders of Quorsus Ltd on the sale of its entire issued share capital to Capgemini UK plc. The deal included advising on corporate, employment, intellectual property and tax matters.

The transaction was led by corporate partner Mary Elliott and corporate senior associate Beth Silkin, supported by corporate associate Hollie Allen, employment partner Aron Pope, employment legal director Tom Pennington-Hare, intellectual property partner Simon Bennett, tax director Joanne Varia and trainee solicitor James Coulthard.

Quorsus is a fast-growing UK-based firm founded in 2018 that provides strategic consultancy services to financial institutions in post-trade technologies, operations, regulatory solutions, and market infrastructure. Capgemini is a multinational IT services and consulting group and the deal will allow it to provide its capital markets clients with further support.

Mary Elliott said: “The deal exemplifies our expertise in acting for fast growing companies as well as using our significant experience in the professional services sector to achieve excellent outcomes for our clients. The sale is a hugely significant one for Quorsus and we’re delighted to have advised them.”

Carolyn Kostelny, Managing Partner and Chief of Staff at Quorsus said: “We can’t thank the Fox Williams team enough for their expert guidance. They have been incredibly effective at steering us through the sale and bringing all the various legal strands together. In particular, their understanding of the professional services sector and prior expertise in advising on these types of transactions was crucial in bringing the deal to a successful conclusion.”
