Fox Williams’ strategic consultant Tina Williams and head of professional services Daniel Sutherland develop Lexology’s new publication Getting the Deal Through: Partnerships
Members of Fox Williams’ professional practices team have developed and edited the inaugural 2019 edition of Partnerships, new to Lexology’s Getting the Deal Through (GTDT) series. Strategic consultant Tina Williams, head of professional services Daniel Sutherland and associate Ed Livingstone wrote the introduction, the UK chapter and edited each country chapter.
Writing in the introduction, Tina Williams states: “Choosing to adopt a partnership rather than a corporate model typically offers partners far greater freedom than is found in companies as to how and when the participants choose to divide profits and require capital to be invested, and how they allocate votes and management roles. This freedom to define a partnership’s constitution by agreement, rather than being constrained by statute, is among the most appealing aspects of the partnership and is one of the reasons for its success as a model. However, this freedom does have the potential to create traps for the unwary.”
“GTDT Partnerships” examines the establishment and governance of partnerships across nine international jurisdictions, addressing key topics including taxation, reporting requirements, partners’ duties and dispute resolution procedures. The jurisdictions included are Brazil, Colombia, France, India, Mexico, Saudi Arabia, Switzerland, United Kingdom and the USA.
