Banking and debt finance facilities

We can assist our clients in their financing requirements in the light of the severe and unprecedented impact of the coronavirus on the vast majority of businesses.  As a result of the crisis, borrowers will need to balance their cash flow needs against their ability to service their existing debt as businesses are closed, supply chains are closed off and supply and demand for some services and products reduces or ceases altogether. Conversely, lenders will need to manage their outstanding loans while at the same time continuing to fund borrowers who need cash in the short term to continue trading.

We are able to help corporate clients with all types of general banking and finance work, and work resulting from the coronavirus crisis including:

  • Advice on the impact of the coronavirus crisis on existing bank facilities generally;
  • Extensions, amendments and restatements of existing facilities
  • Injections of new capital by way of (secured) debt (e.g. emergency shareholder funding);
  • Advice on waivers of potential breaches of representations or covenants in existing facilities;
  • Advice on waivers of potential events of default in existing facilities, e.g.:
    • non-payment;
    • non-compliance with financial covenants, information and general undertakings;
    • material adverse change;
    • insolvency; and
    • cross default;
  • Transfer restrictions;
  • Debt buy backs;
  • Interpreting force majeure clauses and advising on frustration of contracts and illegality clauses;
  • Advice on the purchase or sale of loan portfolios; and
  • Insolvency-related advice to directors and corporates.
